Dear USPSA Members,

We are pleased to share the comprehensive Amended & Restated Bylaws package that the USPSA Board of Directors has been developing throughout 2025, as we announced in February, May, and earlier this year.

What We're Sharing

After months of collaborative work with Lewis Brisbois, a nationally-recognized corporate law firm specializing in Delaware non-profit governance, we are presenting for your review:

  • Amended and Restated Bylaws – A complete modernization drafted specifically for USPSA under current Delaware General Corporation Law
  • Committee Charters – Formal structures for Audit, Finance, Disciplinary, and Rules Committees
  • Governance Policies – Conflict of Interest, Whistleblower, and Records Retention policies aligned with non-profit best practices

Key Improvements

This bylaws package represents a significant upgrade to USPSA's governance:

  1. Enhanced Member Rights – Clearer processes for elections, stronger participation mechanisms, and improved member protections
  2. Modern Legal Compliance – Wholly drafted and reviewed by Delaware corporate counsel to ensure full compliance with current non-profit corporation law
