FAQ: Removal of Area 2 Director

Question: Why was the Area 2 Director removed?

The Board received a petition from the members of Area 2 with specific complaints about Mr. Birdt’s conduct. After review of those complaints and the consideration of our personal observations, the Board determined by a three-quarters vote to remove him and to recommend that he be removed.

The letter that the Board previously sent to the members on March 17, 2025, provides further details regarding this determination.


Question: Please explain, "The members of Area 2 will now have the opportunity to vote, in compliance with Delaware law, to remove Mr. Birdt." Does this mean there will be a recall ballot?

Answer: The Board was presented with a petition to remove Mr. Birdt. In accordance with Delaware law (which is where USPSA is incorporated), the matter is being submitted to the members of Area 2 for a vote.

In layman’s terms, this would be similar to what's commonly known as a recall ballot. Area 2 members will receive voting instructions explaining the process, timeline, and how to cast their vote regarding Mr. Birdt's removal. This membership vote is separate from the Board's action but addresses the same matter of removing the director.


Question: When will this vote happen?

Answer: The vote will take place no later than May 18, 2025. Area 2 members will be receiving ballots before this date. Our Managing Director is currently collaborating with a professional proxy service to set the precise dates and timeline for this process. Once finalized, we will promptly communicate the complete schedule to all Area 2 members through our official channels. Please stay tuned for further updates regarding this important vote.


Question: How were the recall signatures validated?

Answer: The petition to recall Mr. Birdt was received by the Board of Directors. All of the signatures received were verified against the USPSA member roles to ensure that the member information was correct, the member was eligible to vote, and the member was in the appropriate area. We received 308 signatures. We can verify that 277 of these are members in good standing with USPSA, and 184 of these are members of Area 2.

We received additional petitions on Tuesday after the Special Meeting and these are not included in the counts, nor where they verified.

The petition did not effect the removal of Mr. Birdt. This petition simply placed the issue of Mr. Birdt’s removal before the Board who considered the grounds for removal. Thereafter, the Board acted on the removal pursuant to terms of the USPSA Bylaws and Delaware law.


Question: Is this in retaliation for the lawsuit?

Answer: No, this is not retaliation for the lawsuit. The special meeting was called in response to petitions received from Area 2 members requesting the removal of the Area 2 director. The timeline shows that Mr. Birdt actually accelerated his lawsuit plans in response to the recall petition drive:

  • Wednesday, March 12, 2025, 1:00 PM Eastern: The Area 2 Director sent an email to the board with what he described as an "...Olive branch and a baseball bat..." This email included draft legal filings dated March 25, 2025 - one day after our next scheduled board meeting.
  • Later on March 12: The Area 2 Director stated in his email newsletter that he believed he would be removed at the next board meeting because of the recall petition.


  • Wednesday, March 12, 2025, 10:58 PM Eastern: The Area 2 Director sent a revised copy of his intended lawsuit, stating he would file "tomorrow" - dramatically accelerating his original timeline.
  • Thursday, March 13, 2025, 9:58 PM Eastern: The Area 2 Director informed the board he had filed his lawsuit.
  • Friday, March 14, 2025, 3:05 PM Eastern: We received the first petitions from Area 2 members requesting the removal of the Area 2 Director.

This chronology demonstrates that the recall petition process was already underway before the lawsuit was filed, and that Mr. Birdt expedited his legal action in response to learning about the petition.


Question: Did the Area Directors have appropriate access to documents?

Answer: Area Directors have appropriate access to documents to provide oversight for the organization in accordance with Delaware law. As fiduciaries, Area Directors are expected to seek access in accordance with the law governing board members.
